1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Remot ("Company," "we," "our," or "us"). By accessing or using the Remot platform at remot.work ("Platform"), you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our services.

2. Eligibility

You must be at least 18 years old and have the legal capacity to enter into binding contracts to use the Platform. By using Remot, you represent and warrant that you meet these eligibility requirements. If you are using the Platform on behalf of a company or organization, you represent that you have the authority to bind that entity to these Terms.

3. Description of Service

Remot is a remote job marketplace that connects talented professionals, with a focus on Filipino talent, with global companies seeking remote workers. We provide a platform for job posting, talent discovery, AI-powered matching, skill assessments, and direct communication between parties. We facilitate connections but are not a party to any employment relationship between users.

4. User Accounts

When creating an account, you agree to:

• Provide accurate, current, and complete information
• Maintain the security of your password and account credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately at hello@remot.work of any unauthorized access
• Not create multiple accounts or share account credentials with others
• Not transfer or assign your account to another person without our consent

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent, abusive, or illegal activity.

5. User Conduct

Users must not:

• Post false, misleading, or fraudulent content
• Harass, threaten, discriminate against, or defame other users
• Violate any applicable laws, regulations, or third-party rights
• Post spam, advertisements, or promotional content outside designated areas
• Attempt to circumvent platform fees, security measures, or policies
• Use the platform for any illegal purpose, including money laundering or fraud
• Scrape, harvest, or collect data from the Platform without authorization
• Interfere with or disrupt the Platform's operation or security
• Impersonate another person or entity

6. Job Postings (For Employers)

Employers are responsible for ensuring their job postings are accurate, complete, and comply with all applicable employment laws. Job postings must not discriminate based on race, color, religion, sex, national origin, age, disability, genetic information, or other protected characteristics. We reserve the right to remove any posting that violates our policies or applicable law without notice or refund.

7. Talent Profiles

Talent is responsible for providing accurate information in their profiles, including skills, experience, education, and work history. Misrepresentation of qualifications may result in account termination. By making your profile visible, you consent to employers viewing your profile information. Talent accounts are free and use a points-based system to apply for jobs.

8. Payments and Subscriptions

Certain features require paid subscriptions. By subscribing, you agree to:

• Pay the applicable subscription fees as displayed at the time of purchase
• Provide accurate billing information
• Authorize recurring charges for subscription plans

Billing: Subscriptions are billed in advance on a monthly or annual basis. Prices are in USD unless otherwise specified.

Cancellation: You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period.

Refunds: Subscription fees are generally non-refundable. However, we may provide pro-rata refunds in our sole discretion for extenuating circumstances.

Price Changes:We reserve the right to modify pricing with 30 days' notice. Continued use after price changes constitutes acceptance.

9. Direct Hiring

Remot facilitates direct connections between employers and talent. Any employment relationship, contract, compensation, benefits, or payment arrangement is between the employer and the talent directly. Remot is not a party to any employment agreement and is not responsible for the actions, omissions, or disputes between employers and talent.

10. Intellectual Property

All content and materials on Remot, including but not limited to logos, text, graphics, images, software, and the overall design and structure of the Platform, are our property or licensed to us and are protected by intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Platform without written permission.

You retain ownership of content you post on the Platform. By posting content, you grant us a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute such content in connection with operating and promoting the Platform.

11. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. WE DO NOT GUARANTEE THE ACCURACY OF USER-PROVIDED INFORMATION OR THE SUITABILITY OF ANY CANDIDATE OR JOB OPPORTUNITY.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, REMOT AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, ARISING FROM YOUR USE OF THE PLATFORM. OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100).

13. Indemnification

You agree to indemnify, defend, and hold harmless Remot and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) your content posted on the Platform.

14. Dispute Resolution

Informal Resolution: Before filing any formal dispute, you agree to contact us at hello@remot.work and attempt to resolve the dispute informally for at least 30 days.

Arbitration: If we cannot resolve the dispute informally, any controversy or claim arising out of or relating to these Terms shall be settled by binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted in Delaware, USA, unless otherwise agreed.

Class Action Waiver: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any legal action or proceeding not subject to arbitration shall be brought exclusively in the state or federal courts located in Delaware.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining provisions of these Terms remain in full force and effect.

17. Force Majeure

We shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, labor disputes, government actions, pandemics, internet or telecommunications failures, or power outages.

18. Entire Agreement

These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and Remot regarding the Platform and supersede all prior or contemporaneous communications and proposals.

19. Changes to Terms

We may update these Terms at any time. We will notify users of material changes by posting the updated Terms on this page and updating the "Last updated" date. For significant changes, we will provide additional notice via email or platform notification. Your continued use of the Platform after changes constitutes acceptance of the modified Terms.
